1. Acceptance
By accessing or using kayjor.com (the "Site") or any materials we publish through it, including the Whitepaper (v1.0), Core Metrics Workbook, Governance Framework, Intelligence Unit Workbook, Ecosystem Dashboard Workbook, and API Reference (collectively, the "Materials"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Site or the Materials.
2. Eligibility
The Site and Materials are intended for use by professionals and organizations exploring digital economic infrastructure, including representatives of governments, enterprises, investors, developers, and infrastructure partners. You represent that you have the legal authority to bind the entity on whose behalf you are accessing the Site.
3. Acceptable use
You agree not to:
- Use the Site or Materials for any unlawful purpose or in violation of any applicable laws or regulations.
- Attempt to gain unauthorized access to any part of the Site, the underlying infrastructure, or other users' accounts.
- Interfere with or disrupt the integrity or performance of the Site or any infrastructure operated by us.
- Scrape, crawl, or use automated means to access the Site or Materials at a rate that exceeds normal human use, except as permitted by our published API or written agreement.
- Submit any content through the Site that is false, misleading, defamatory, infringing, or otherwise unlawful.
- Use the Site to harass, abuse, or harm another person, or to attempt to do so.
4. Intellectual property
The Site and Materials are owned by KAYJOR Labs and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to:
- View and download the Materials for your internal evaluation purposes, including evaluating whether to enter into a pilot agreement with us.
- Quote brief excerpts from the Materials in your internal communications, provided you attribute the excerpt to "KAYJOR Labs" and link back to the source on this Site.
You may not, without our prior written permission:
- Reproduce, redistribute, or republish the Materials in whole or in substantial part, including on public websites or in commercial products.
- Modify, translate, or create derivative works based on the Materials.
- Use the KAYJOR name, logo, or trademarks in a way that suggests endorsement, affiliation, or partnership that does not exist.
TO REVIEW: If you intend to publish under a Creative Commons or similar permissive license, the above terms should be replaced. The default above is a "restricted evaluation" license appropriate for a pre-product launch.
5. User content
When you submit a pilot request, send us correspondence, or otherwise provide content to us, you grant us a non-exclusive, worldwide, royalty-free license to use that content for the purposes of evaluating and responding to your inquiry, operating our business, and improving our products. You confirm that you have the right to provide this content and that it does not violate any third-party rights.
6. Pilot program and pilot agreements
KAYJOR is in a 2026 Founding Network. Engagement in the founding network is by invitation and is governed by a separate, executed pilot agreement between KAYJOR Labs and the participating entity. These Terms apply to your use of the Site and Materials but are superseded by the pilot agreement in the event of any conflict regarding deliverables, obligations, or related matters.
Submitting a request through the Site does not by itself create any obligation on KAYJOR's part to enter into a pilot agreement, and submission does not guarantee acceptance into the founding network.
7. Third-party links and resources
The Site may contain links to third-party websites, services, or resources. We do not endorse and are not responsible for the availability, accuracy, content, or practices of any third party. Your use of any third-party resource is at your own risk and subject to that third party's own terms and policies.
8. Disclaimers
THE SITE AND MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
KAYJOR does not warrant that the Site will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Site or the servers that make it available are free of viruses or other harmful components.
The Materials describe a vision and a proposed architecture. They do not constitute a binding commitment to deliver any specific feature, timeline, or commercial outcome, except as set out in a separately executed written agreement.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KAYJOR LABS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR MATERIALS, REGARDLESS OF THE LEGAL THEORY AND WHETHER OR NOT KAYJOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN ANY EVENT, KAYJOR'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100) OR THE EQUIVALENT IN YOUR LOCAL CURRENCY.
10. Indemnification
You agree to defend, indemnify, and hold harmless KAYJOR Labs and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, and expenses (including reasonable legal fees) arising from your use of the Site, your violation of these Terms, or your violation of any third-party right.
11. Governing law and disputes
These Terms are governed by the laws of [TO REVIEW: governing jurisdiction], without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or your use of the Site will be resolved exclusively in the courts located in [TO REVIEW: venue], and you consent to the personal jurisdiction of those courts.
TO REVIEW: Insert the actual governing law and venue once the entity is incorporated and the registered office is selected. This is critical for enforceability.
Nothing in this section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
12. Changes
We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date at the top of this page. For material changes that affect existing pilot partners, we will also notify you by email. Continued use of the Site after a change becomes effective constitutes acceptance of the updated Terms.
